1. Definitions
""The Firm," "We," "Us": Refers to Capvance and its subsidiaries.
"The Client," "You": Refers to the entity, institution, or individual engaging our advisory services.
"Advisory Services": Encompasses strategic consulting, capital structuring, sustainability integration, proprietary research, and digital tools provided by Capvance.
2. Services provided
Capvance delivers premier strategic advisory services, including but not limited to:
Capital Strategy & Fundraising Support
Mergers & Acquisitions (M&A) Advisory
Sustainability & ESG Integration
Market Intelligence & Strategic Positioning Specific deliverables and objectives are defined strictly within the Engagement Letter or Statement of Work (SOW) executed by both parties.
3. Use of services
The efficacy of our strategic counsel relies on the precision of the information provided. You agree to:
Provide accurate, complete, and timely financial and operational data.
Ensure that your use of our strategies complies with all applicable laws and regulations in your jurisdiction.
Acknowledge that Capvance acts as an advisor, not a guarantor of specific market outcomes.
4. Fees and payment
Fee Structure: All professional fees, retainers, and success fees are detailed exclusively in the formal Engagement Letter.
Payment: Invoices are due upon receipt or within 30 days as specified. We reserve the right to apply interest on overdue accounts at institutional rates.
Currency: All transactions are settled in [USD/GBP/EUR] unless otherwise stipulated.
5. Intellectual property
Proprietary Assets: All methodologies, financial models, strategic frameworks, and software code developed by Capvance during the engagement remain the exclusive Intellectual Property (IP) of the Firm.
Client License: Upon full payment, the Client is granted a perpetual, non-exclusive, non-transferable license to utilize the final deliverables for internal strategic purposes.
6. Confidentiality
We adhere to the highest standards of banking secrecy and discretion.
Mutual Non-Disclosure: Both parties agree to protect all proprietary and sensitive information shared during the engagement.
Data Security: Capvance employs enterprise-grade security protocols to protect Client data. This obligation survives the termination of our engagement.
7. Liability
Capvance provides strategic advice based on current market conditions and professional judgment.
No Consequential Damages: The Firm shall not be liable for indirect, incidental, or consequential damages arising from market volatility or business decisions made by the Client.
Cap: Our total liability is strictly limited to the professional fees paid by the Client for the specific service in question.
8. Termination
Notice: Either party may terminate the engagement with written notice as specified in the Engagement Letter.
Settlement: The Client remains responsible for all professional fees and expenses incurred up to the effective date of termination.
9. Changes to terms
We reserve the right to update these Terms and Conditions at any time. The latest version will always be available on our website.
10. Governing law
These Terms shall be governed by and construed in accordance with the laws of Cyprus. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts therein.
